Interpretation

Words whose initial letter is capitalised have meanings defined under the following conditions. These definitions apply whether the term appears in singular or plural form.

Definitions

For the purposes of these Terms and Conditions:

• Account — a unique account created for You to access the Service or parts of the Service.
• Company — Fieldunit Technologies Kft. ("the Company", "We", "Us" or "Our").
• Content — text, images, data, or other information that can be posted, uploaded, linked to, or otherwise made available through the Service.
• Device — any device that can access the Service, such as a computer, phone, or digital tablet.
• Service — the website operated by the Company.
• Website — Fieldunit Technologies, accessible at https://strategicrawmaterial.com.
• You — the individual accessing or using the Service, or the legal entity on behalf of which such individual is accessing or using the Service.

Acknowledgment

These Terms and Conditions govern the use of the Service and constitute the agreement between You and the Company. By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.

You represent that You are at least 18 years of age. the Company does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company.

User Accounts

When You create an Account, You must provide accurate, complete, and current information. Failure to do so constitutes a breach of these Terms.

• You are responsible for safeguarding the password used to access the Service and for any activities or actions under Your password.
• You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorised use of Your Account.
• You are responsible for all activity that occurs under Your Account.
• You may not use as a username the name of another person or entity, or a name that is offensive, vulgar, or obscene.

Content

Our Service allows You to post Content. You are responsible for the Content You post, including its legality, reliability, and appropriateness.

By posting Content on the Service, You grant the Company a non-exclusive, worldwide, royalty-free licence to use, display, and distribute that Content in connection with the operation of the Service. You retain all rights to Content You submit, post, or display on or through the Service.

You represent and warrant that: (i) the Content is Yours or You have the right to use it and grant Us the rights described in these Terms, and (ii) the posting of Your Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

Content Restrictions

the Company is not responsible for the content of users of the Service. You expressly understand and agree that You are solely responsible for the Content and that You will not transmit Content that:

• is unlawful, harmful, threatening, abusive, harassing, or otherwise objectionable;
• constitutes or promotes spam, junk mail, or unsolicited bulk email;
• contains software viruses, malware, or any other harmful code;
• impersonates any person or entity or misrepresents Your affiliation with a person or entity;
• infringes any patent, trademark, trade secret, copyright, or other proprietary right;
• violates applicable laws, regulations, or third-party rights.

Content Backups

Although regular backups of Content are performed, the Company does not guarantee there will be no loss or corruption of data. Corrupt or invalid backup points may be caused by Content that is corrupted prior to being backed up or changes during the time a backup is performed. the Company will provide support and attempt to troubleshoot any known or discovered issues that may affect backups of Content, but You acknowledge that the Company has no liability related to the integrity of Content or the failure to successfully restore Content to a usable state.

Copyright Policy

We respect the intellectual property rights of others. It is Our policy to respond to any claim that Content posted on the Service infringes a copyright or other intellectual property right of any person. If You believe that Content on the Service infringes Your copyright, please submit a written notice to Our copyright agent at copyright@strategicrawmaterial.com containing the following:

• An electronic or physical signature of a person authorised to act on behalf of the owner of the copyright interest.
• A description of the copyrighted work You claim has been infringed.
• Identification of the URL where the allegedly infringing content is located on the Service.
• Your address, telephone number, and email address.
• A statement by You that You have a good-faith belief that the disputed use is not authorised by the copyright owner, its agent, or the law.
• A statement by You, made under penalty of perjury, that the above information in Your notice is accurate and that You are the copyright owner or authorised to act on the copyright owner's behalf.

Intellectual Property

The Service and its original content (excluding Content provided by You or other users), features, and functionality — including the platform software, its user interface, the canonical materials taxonomy, the auction evaluation weighting and clearing methodology, the trust and pathway scoring model, and all accompanying documentation — are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other applicable laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written permission of the Company.

To the extent any of the foregoing is not publicly disclosed, it is a protected trade secret of the Company within the meaning of Act LIV of 2018 on the Protection of Trade Secrets, implementing Directive (EU) 2016/943, and is disclosed to You, if at all, solely to the extent necessary to use the Service.

If You send Us any feedback, suggestion, or idea about the Service, You grant the Company a royalty-free, worldwide, perpetual licence to use it for any purpose, without any obligation to You.

Database Rights

the Company is the maker of the databases comprising the Service, including the listings, bids, submissions, placements, auction results, cleared-price history, and participant registry, and holds the sui generis database right in those databases under Directive 96/9/EC and Sections 60/A–62 of Act LXXVI of 1999 on Copyright (Szjt.).

You may not extract and/or re-utilise the whole or a substantial part of the contents of any such database, whether by any means or in any form, nor repeatedly or systematically extract or re-utilise insubstantial parts of its contents where doing so conflicts with the normal exploitation of the database or unreasonably prejudices Our legitimate interests. This right subsists independently of, and in addition to, any copyright subsisting in the same content.

Links to Other Websites

The Service may contain links to third-party websites or services that are not owned or controlled by the Company. the Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We strongly advise You to read the terms and conditions and privacy policies of any third-party sites You visit.

Prohibited Use

In addition to the restrictions in Content Restrictions, You agree not to:

• scrape, crawl, or otherwise engage in automated bulk extraction of data from the Service;
• circumvent pathway or capability gating, or attempt to de-anonymise a counterparty prior to match;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the auction evaluation or clearing algorithm;
• use the Service or data obtained from it to build, train, or benchmark a competing marketplace or model;
• resell or redistribute market data obtained through the Service; or
• share Your Account credentials with any third party.

Breach of this section is grounds for immediate account termination or suspension under Termination.

Termination

We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will immediately cease. If You wish to terminate Your Account, You may simply discontinue using the Service or contact Us to request account deletion.

Limitation of Liability

the Company acts as a marketplace and matching platform. It is not a party to the underlying supply contracts concluded between participants, and does not assume the commercial risk of those contracts.

Subject to the paragraph below, the total liability of the Company to You in connection with the Service is limited to the fees You paid to the Company in the twelve months preceding the event giving rise to the claim. the Company is not liable for indirect or consequential loss, or for loss of profit, revenue, or anticipated savings.

Nothing in these Terms excludes or limits liability for damage caused intentionally, or for harm to life, limb, or health, which under Section 6:152 of Act V of 2013 (the Hungarian Civil Code, Ptk.) cannot be excluded or limited by agreement.

Service Availability and Warranties

the Company provides the Service with reasonable skill and care, and works to keep it available and accurate.

To the extent permitted by applicable law, the Company does not warrant that the Service will be uninterrupted or error-free, that it will meet Your particular requirements, or that it will be compatible with other systems You use. Market data, index references, and evaluation outputs are provided for information and do not constitute investment, trading, or legal advice.

Governing Law

These Terms shall be governed by, and construed in accordance with, the laws of Hungary and applicable European Union law, without regard to conflict-of-law principles.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company at contact@strategicrawmaterial.com. We will endeavour to resolve the concern within a reasonable timeframe before either party pursues formal proceedings.

If informal resolution is unsuccessful, You agree that the courts of Hungary competent for the seat of the Company shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, without prejudice to the mandatory consumer forum rules preserved in For European Union (EU) Users.

For European Union (EU) Users

If You are a consumer based in the European Union, You will benefit from any mandatory provisions of the law of the country in which You reside. Nothing in these Terms and Conditions affects Your rights as a consumer to rely on such mandatory consumer-protection provisions.

Sanctions and Export Control

You represent and warrant that You are not a person or entity subject to, and are not owned or controlled by a person or entity subject to, the consolidated financial sanctions lists maintained under Council Regulation (EU) No 269/2014 or Council Regulation (EU) No 833/2014, and that Your use of the Service complies with the dual-use export control regime under Regulation (EU) 2021/821.

In addition, and without limiting the foregoing, You represent and warrant that (i) You are not located in a country that is subject to a United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties, including the Treasury Department's list of Specially Designated Nationals or the Commerce Department's Denied Persons List or Entity List.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall a waiver of a breach constitute a waiver of any subsequent breach.

Translation Interpretation

These Terms and Conditions may have been translated if We have made them available to You in other languages. In the event of a dispute, the original English text shall prevail.

Changes to These Terms and Conditions

We reserve the right to modify or replace these Terms at any time at Our sole discretion. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use the Service after any revisions become effective, You agree to be bound by the revised terms. These Terms were last updated on June 30, 2026.
